- What the business does, and who its customers are.
- Approximate revenue and EBITDA, and the trend in both.
- Whether revenue is recurring, contracted, or project-based.
- The reason the business is available now.
- Whether management intends to stay.
- For a carve-out: what is shared with the parent today.
- Any process already running, and its timetable.
- What has gone wrong, if something has. It is not a disqualifier.
